Terms of Use

1. INTRODUCTION AND ACCEPTANCE

1.1 Parties. These Terms of Use ("Terms") constitute a legally binding agreement between you (the "User", "Client", or "You") and Control Trading Lab SAS, a company incorporated under the laws of France ("[CTrL]", "We", "Us", or "Our").

1.2 Scope. We provide a software-as-a-service platform offering tools for cryptocurrency portfolio management, algorithmic trading strategy design, backtesting, and automation (the "Software"). The Software is accessible via our website https://lab.ctrl.trading (the "Site") and associated APIs.

1.3 Acceptance. By registering an account, accessing, or using the Software, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you do not agree to these Terms, you are strictly prohibited from using the Software.

2. DEFINITIONS

• "Software": The algorithmic trading platform, including the visual editor, backtesting engine, and execution bots provided by [CTrL].
• "Exchange Account": Your personal account at a third-party cryptocurrency exchange (e.g., Binance, Kraken) connected to the Software via API.
• "Client Content": Any strategy, logic, configuration, or data created by you within the Software.
• "Subscription": The paid plan (Basic, Pro) granting access to specific features.

3. ELIGIBILITY CRITERIA

To access the Software, you represent and warrant that:

1. You are at least 18 years old and have the full capacity to enter into binding contracts.
2. You are not a resident of, or incorporated in, any jurisdiction subject to comprehensive sanctions (including but not limited to Iran, North Korea, Syria, Cuba, Crimea, Sevastopol, Donetsk, Luhansk, Kherson, or Zaporizhzhia regions).
3. You are not listed on any sanctions list maintained by the EU, UN, US (OFAC), or UK (OFSI).
4. You are using the Software solely for your own personal use and not on behalf of a third party.

4. ACCOUNT SECURITY & API KEYS

4.1 API Keys Restrictions. To use automated trading features, you must provide API keys from your Exchange Account. You agree to configure these keys with "Trade" permissions only. You represent and warrant that you will NEVER provide API keys with "Withdrawal" or "Transfer" permissions enabled. [CTrL] shall not be liable for any loss of funds if you fail to adhere to this security restriction.

4.2 Credentials. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access. We reserve the right to disable any account if we suspect a security breach.

5. INTELLECTUAL PROPERTY & LICENSE

5.1 License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software.

5.2 Restrictions. You shall not: (i) reverse engineer, decompile, or disassemble the Software; (ii) resell, sublicense, or rent the Software; (iii) use the Software to build a competitive product.

5.3 User Strategies. You retain ownership of the strategies you create. However, by setting a strategy to "Public", you grant [CTrL] a worldwide, royalty-free, perpetual license to display, reproduce, and analyze said strategy for the purpose of operating the platform's social features.

6. SUBSCRIPTIONS & FEES

6.1 Fees. Access to certain features is subject to the purchase of a Subscription. Prices are displayed on the Site and may be exclusive of VAT.

6.2 No Refunds. Due to the digital nature of the Software, ALL SALES ARE FINAL. We do not offer refunds for partial months, unused services, or dissatisfaction with trading results.

6.3 Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date via your Account Settings.

8. PROHIBITED ACTIVITIES

You agree not to use the Software to:

• Engage in market manipulation (e.g., spoofing, wash trading, pump-and-dump).
• Violate any applicable laws, including anti-money laundering (AML) regulations.
• Overload our infrastructure (DDoS, excessive API requests).
• Use the Software to manage third-party funds (you must trade only your own capital).

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL [CTrL], ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL [CTrL]'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE EXCEED THE GREATER OF (A) ONE HUNDRED EUROS (€100.00) OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless [CTrL] from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use of the Software; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including intellectual property or privacy rights.

11. TERMINATION

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Software will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Software. Your continued use of the Software after such changes constitutes your acceptance of the new Terms.

13. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
